Terms of Service

These Terms of Service (“Terms”) govern your access to and use of fnMoa (“fnMoa”, the “Service”), operated by Effortless Labs (“Effortless Labs”, “we”, “us”), including the website, dashboard, CLI, and API. By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. The Service

fnMoa drives a coding agent through GitHub-native workflows — triage, issue-to-PR, review, addressing comments, fixing CI, and merging. The agent performs reasoning (writing and reviewing code) while deterministic code performs git and GitHub actions. fnMoa is a tool that assists your software development; it does not replace your own review and judgment.

2. Accounts & access

• You authenticate using GitHub. You are responsible for maintaining the security of your account, API keys, and operator keys, and for all activity that occurs under them.
• You must grant the Service access only to repositories you are authorized to manage, and only the access you intend. You may revoke access at any time through GitHub.
• You must be at least 18 years old, or the age of majority in your jurisdiction.

3. Your content and repositories

“Your Content” means the code, issues, pull requests, comments, configuration, and other materials in the repositories and accounts you connect. You retain all rights to Your Content. You grant us a limited, non-exclusive license to access, process, store, and transmit Your Content solely to operate and provide the Service to you — including sending relevant portions to our model and infrastructure providers to generate output.

You are responsible for ensuring you have the rights and permissions necessary to connect your repositories and to allow the Service to act on them.

4. AI-generated output

• The Service produces code, reviews, and other output using AI models. Output may be inaccurate, incomplete, or unsuitable for your purpose, and may be similar to output generated for others.
• You are responsible for reviewing and approving all output before it is merged or relied upon. fnMoa keeps irreversible actions out of the model’s hands and a merge gate in your control, but the decision to ship remains yours.
• You are responsible for testing, security review, and compliance of any output you adopt.

5. Acceptable use

You agree not to:

• use the Service in violation of any law or third-party right, including intellectual property and privacy rights;
• connect repositories or submit content you are not authorized to use;
• attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure;
• use the Service to develop a competing product by copying it, or to circumvent usage limits or billing;
• use the Service to create malware, or to generate content that is unlawful, harmful, or infringing.

6. Third-party services

The Service relies on third parties including GitHub, AI model providers (such as Anthropic), and cloud and infrastructure providers. Your use of the Service is also subject to those providers’ terms, and we are not responsible for their acts or omissions.

7. Fees

Paid plans, usage-based charges, and dedicated deployments, if applicable to you, will be described at sign-up or in a separate order. Fees are non-refundable except as required by law or expressly stated. We may change pricing prospectively with reasonable notice.

8. Beta and early access

Early-access and beta features are provided “as is” and may be changed or discontinued at any time. They may be less reliable than generally available features, and we may use feedback you provide to improve the Service.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. We may use aggregated, de-identified data that does not identify you or Your Content to operate and improve the Service.

10. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) USD $100.

12. Indemnification

You will defend, indemnify, and hold us harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and disconnect your accounts at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. You and Effortless Labs submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or relating to these Terms or the Service, unless mandatory law provides otherwise.
